1. Acceptance of Terms

These Terms and Conditions constitute a legally binding agreement between you (the "Client") and Haqen Dynamics (the "Consultancy"). These terms govern your use of our staffing solutions, professional consulting services, and international payment gateways. By executing a Statement of Work (SOW), paying an invoice, or accepting deployed personnel from Haqen Dynamics, you expressly agree to be bound by these terms.

2. Scope of Consultancy and Staffing Services

Haqen Dynamics provides highly skilled professionals for project-based, contract, and permanent placement. Our deployed personnel operate under your functional direction unless managed services are explicitly contracted. We are responsible for the payroll, benefits, and administrative management of our contractors, while the Client assumes responsibility for directing their day-to-day project activities and providing a safe, legally compliant working environment.

3. Non-Solicitation and Direct Hiring (Buy-Out Clause)

The Client acknowledges the significant time, expense, and intellectual effort expended by Haqen Dynamics to source, vet, and deploy premium talent. Therefore, the Client agrees that during the term of any active engagement and for a period of twelve (12) months following the termination of any consultant's deployment, the Client shall not directly or indirectly solicit, hire, or engage any Haqen Dynamics employee or contractor.

If the Client wishes to transition a deployed consultant to a direct-hire permanent employee, the Client must formally notify Haqen Dynamics and pay a "Buy-Out Fee" or "Conversion Fee" as stipulated in the governing Service Level Agreement (SLA). Breach of this non-solicitation clause will result in immediate legal action and the enforcement of a penalty fee equal to 50% of the consultant's annualized salary.

4. Intellectual Property Rights

All work product, code, documentation, and intellectual property created by Haqen Dynamics consultants specifically for the Client during the course of a paid engagement shall be deemed "work made for hire" and shall belong entirely to the Client. However, the transfer of these Intellectual Property rights is strictly contingent upon the complete and final payment of all outstanding invoices. Haqen Dynamics retains the rights to all pre-existing tools, methodologies, and frameworks utilized during the engagement.

5. Payment Terms, Late Fees, and International Gateways

We utilize third-party payment processors to facilitate international transactions safely. By submitting payment information, you grant us the right to process your data securely.

• Invoicing: Invoices are issued according to the schedule in the SOW (e.g., weekly, bi-weekly, or monthly) and are strictly due within the Net Terms specified (typically Net 15 or Net 30).
• Late Fees: Any invoice not paid by the due date will accrue a late fee penalty of 1.5% per month (18% annually), or the maximum rate permitted by law. Furthermore, Haqen Dynamics reserves the right to immediately suspend consultant access and halt all active projects if an account becomes more than 15 days past due.
• International Fees and Taxes: All prices are exclusive of local taxes. You are solely responsible for paying any applicable VAT, international transaction fees, foreign exchange fees, or duties imposed by your local government or bank.

6. Payment Disputes and Fraud Prevention

If you believe an invoice or timesheet is inaccurate, you must notify us immediately. We require clients to communicate with us directly to resolve discrepancies before initiating a credit card chargeback or bank dispute. As detailed in our Refund Policy, initiating an unwarranted chargeback for delivered staffing services is considered a severe breach of contract. It will result in the immediate suspension of services, aggressive collections efforts, and liability for all associated legal fees.

7. Limitation of Liability and Indemnification

Haqen Dynamics provides professional personnel and consulting advice; however, the ultimate implementation and business outcomes remain the responsibility of the Client. Haqen Dynamics shall not be liable for any indirect, incidental, punitive, or consequential damages (including lost profits, lost data, or business interruption) resulting from the deployment of our personnel or use of our services.

The Client agrees to indemnify, defend, and hold harmless Haqen Dynamics from any claims, damages, or liabilities arising from the Client's direction of our personnel, including but not limited to workplace safety violations or discriminatory practices.

8. Confidentiality and NDAs

Both parties agree to maintain the strict confidentiality of all proprietary information exchanged during the engagement. Haqen Dynamics ensures that all deployed consultants sign comprehensive Non-Disclosure Agreements (NDAs) to protect your trade secrets and corporate data.

9. Severability and Governing Law

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited to the minimum extent necessary so that these Terms remain in full force and effect. These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.
